Terms of Service

These Terms of Service (together with our Privacy Policy and any other policies referenced herein, collectively the "Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you", "your"), and FacefxLive, operated by saulzhang (individual developer) ("FacefxLive", "we", "us", or "our"), governing your access to and use of the website at facefxlive.com, the FacefxLive Windows desktop client, the browser-based image and video effects tool, and all related services, software, and content (collectively, the "Service").

Please read these Terms carefully. By downloading, installing, accessing, or using the Service, or by creating an account, you confirm that you have read, understood, and agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree with these Terms, you are prohibited from using or accessing the Service.

If there is any discrepancy between the English version and any translated version of these Terms, the English version shall prevail.

1. Agreement to Terms

We reserve the right, in our sole discretion, to modify these Terms at any time. We will alert you to changes by updating the "Last updated" date at the top of this page, and for material changes we will provide prominent notice through the Service. You waive any right to receive specific notice of each change. It is your responsibility to review these Terms periodically. Your continued use of the Service after any revised Terms are posted constitutes your acceptance of those changes.

2. Definitions

• "Service" means the FacefxLive website, desktop client, web tool, and all related features, software, and content.
• "Account" means the registration record that gives you access to certain features, downloads, or paid tiers.
• "Tier" means your membership level (Free, Pro, or Pro+) and the features and limits associated with it.
• "Credits" means the prepaid units consumed by certain features, as described in Section 7.
• "User Content" means the images, videos, and outputs that you create, upload, or process using the Service.
• "Merchant of Record" means the third-party payment platform that bills you, collects payment, and remits applicable taxes on our behalf.

3. The Service

FacefxLive is a real-time face-effects tool. It applies visual effects — such as aging, stylization, 3D headgear, face paint, masks, and stickers — to the user's own face, captured from a webcam or from images and videos the user supplies. All facial reconstruction, effect rendering, and video processing are performed locally on your device (on your computer's hardware in the desktop client, or inside your browser in the web tool) and can be output through a virtual camera for use in live streams, video meetings, and other camera applications. Your face and your media are not uploaded to our servers. The Service is intended as a creative and entertainment tool for effects applied to your own likeness or to content you have the right to use.

4. Eligibility

You must be at least 13 years old (or the minimum legal age of digital consent in your jurisdiction, whichever is higher) to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, in which case "you" refers to that organization.

5. User Representations

By using the Service, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity and agree to comply with these Terms; (4) you are not a minor in your jurisdiction; (5) you will not access the Service through automated or non-human means (such as a bot or script) except as expressly permitted; (6) you will not use the Service for any illegal or unauthorized purpose; and (7) your use of the Service will not violate any applicable law or regulation. If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your Account and refuse any current or future use of the Service.

6. Accounts and Registration

• You may need to register an Account with a valid email address to access certain features, downloads, or paid Tiers.
• You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your Account. Notify us immediately of any unauthorized use.
• One person may not maintain multiple Accounts, or otherwise circumvent free-Tier limits, Credits, or device-activation restrictions.
• We reserve the right to remove or reclaim a username or identifier if we determine, in our sole discretion, that it is inappropriate or objectionable.

7. Licenses, Tiers and Credits

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Service for your personal or internal business purposes. This is a grant of license, not a transfer of title, and it terminates automatically if you violate these Terms.

• Free Tier — includes a limited feature set and may apply a watermark to output.
• Paid Tiers (Pro / Pro+) — unlock additional effects, remove watermarks, and may include higher-quality output, as described on the pricing page.
• Credits — certain features consume Credits. Credits are purchased or granted with a plan, are tied to your Account, are non-transferable, have no cash value, may expire, and may not be resold. Your Credit balance and any applicable expiry are shown in your Account.
• Device activations — licenses may be limited to a specified number of activation devices, as shown at purchase.

8. Fees, Payment and Taxes

Paid plans and Credit packs are priced on our pricing page and are processed by our Merchant of Record, which is responsible for billing, payment collection, and the calculation and remittance of applicable sales taxes (such as VAT or GST). By making a purchase, you agree to the Merchant of Record's terms. Prices are stated in the currency shown and may change; changes do not affect purchases already completed. You agree to pay all charges at the prices then in effect and authorize the applicable payment provider to charge your chosen payment method. We reserve the right to correct pricing errors and to refuse any order.

9. Refunds and Cancellation

Because the Service is delivered digitally and made available or downloaded immediately, purchases are generally non-refundable once delivered, except where required by applicable law or where a purchase was duplicated or not fulfilled. If you believe a charge was made in error, contact [email protected] within a reasonable period and we will review it in good faith. Refunds may also be subject to the Merchant of Record's policies and to any mandatory consumer-protection rights in your jurisdiction, which these Terms do not limit.

10. Acceptable Use and Restrictions

• Create deepfakes, non-consensual likenesses, or any content that places one real person's identity onto another without that person's explicit, informed consent.
• Impersonate, defraud, deceive, or misrepresent identity — including forging identification, credentials, or official documents.
• Produce adult, pornographic, sexually explicit, or NSFW content, or any content sexualizing minors, which is strictly prohibited and will be reported to the appropriate authorities.
• Defame, harass, bully, threaten, or violate the portrait, privacy, or publicity rights of any person.
• Create content that is illegal, infringes intellectual-property rights, incites violence or hatred, or violates any applicable law or regulation.
• Produce content intended to manipulate elections, spread disinformation, or bypass the safety or moderation systems of any platform.
• Modify, copy, prepare derivative works of, decompile, or reverse-engineer the Service, or attempt to circumvent its licensing, Credits, watermark, or security mechanisms; or resell, rent, lease, sublicense, or redistribute it.
• Remove or alter any copyright, trademark, or other proprietary notices from the Service.
• Overload, disrupt, or abuse the Service or our networks through automated, excessive, or unauthorized requests.

You are solely responsible for the content you create with the Service and for how you use, publish, and distribute it. We may suspend or terminate Accounts that violate these restrictions, without refund, and may cooperate with law enforcement where required.

11. Your Content

You retain all rights to the User Content you create using the Service, subject to Section 10. Because processing occurs on your device, your User Content is not uploaded to or stored by us. You are solely responsible for ensuring that you hold all necessary rights, consents, and permissions to any images or videos you process, and for the content you produce and distribute. You represent that your User Content does not violate these Terms, any applicable law, or the rights of any third party.

12. Intellectual Property

The Service — including its software, machine-learning models, effects, artwork, branding, documentation, and all related intellectual property — is owned by or licensed to FacefxLive and is protected by applicable copyright, trademark, and other laws. Except for the limited license granted in Section 7, no right, title, or interest in the Service is transferred to you, and all rights not expressly granted are reserved.

13. Feedback

If you provide us with suggestions, ideas, or other feedback regarding the Service ("Feedback"), you agree that we may use and exploit such Feedback for any purpose without restriction or obligation to you, and you hereby assign to us all rights in the Feedback.

14. Third-Party Services

The Service may integrate with, link to, or be used alongside third-party websites, applications, and services (for example, streaming and video-conferencing software used with our virtual camera, and our Merchant of Record). We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and privacy policies, and you agree to hold us harmless from any harm arising from your use of them.

15. Service Management and Modifications

We reserve the right, but not the obligation, to: (1) monitor the Service for violations of these Terms; (2) take appropriate legal action against anyone who violates these Terms; and (3) change, modify, remove, suspend, or discontinue all or part of the Service at any time, for any reason, without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

16. Term, Suspension and Termination

These Terms remain in effect for as long as you use the Service. You may stop using the Service and delete your Account at any time by contacting us. We may suspend or terminate your access immediately, without notice or liability, if you breach these Terms, if required by law, or to protect the Service or its users. Upon termination, the license granted to you ceases. Sections that by their nature should survive (including Sections 10, 11, 12, 13, 17, 18, 19, 21, and 22) will survive termination.

17. Warranty Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ALL HARDWARE, CAMERAS, OR THIRD-PARTY APPLICATIONS. EFFECTS ARE A CREATIVE AND ENTERTAINMENT TOOL AND ARE NOT INTENDED FOR MEDICAL, LEGAL, IDENTIFICATION, OR OTHER PROFESSIONAL PURPOSES.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FACEFXLIVE OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

19. Indemnification

You agree to defend, indemnify, and hold harmless FacefxLive and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (1) your User Content; (2) your use or misuse of the Service; (3) your violation of these Terms; or (4) your violation of the rights of any third party, including any person's likeness, privacy, or intellectual-property rights.

20. Electronic Communications

Visiting the Service, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED THROUGH THE SERVICE.

21. General Provisions

• Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and FacefxLive regarding the Service and supersede all prior agreements on that subject.
• Severability. If any provision of these Terms is held unenforceable, that provision is severed to the extent of its unenforceability and the remainder remains in full force and effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, network or power outages, or acts of government.
• No partnership. These Terms do not create any joint venture, partnership, employment, or agency relationship between you and FacefxLive.

22. Governing Law and Dispute Resolution

Informal negotiation. To expedite resolution and control cost, the parties agree to first attempt to negotiate any dispute, controversy, or claim arising out of or relating to these Terms or the Service (each, a "Dispute") informally for at least thirty (30) days before initiating any formal proceeding. Informal negotiation begins upon written notice from one party to the other.

Governing law. These Terms are governed by the laws of mainland China (the People's Republic of China), without regard to conflict-of-law principles. Mandatory consumer-protection rights in your country of residence are not affected.

Forum. Any Dispute not resolved through informal negotiation shall be resolved exclusively in the competent people's courts in mainland China (the People's Republic of China), and you irrevocably consent to the personal jurisdiction of those courts, unless applicable law provides otherwise.
